Terms of Service

These Terms of Service ("Terms") are an agreement between you and Fund Flow LLC, a New York limited liability company doing business as FundFlow Capital ("FundFlow," "we," "us," or "our"), 2248 Broadway #1851, New York, NY 10024. They govern your use of go.fundflowllc.com and related websites, our applications, document upload pages, and communications (the "Services"). Please read Section 18. It requires individual arbitration and waives class actions.

1. Acceptance

By using the Services or submitting any form, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18, live in the United States, and be an owner or authorized representative of a U.S. business. If you submit information for a business, you confirm you have authority to do so on its behalf.

3. What We Do

FundFlow is a business funding broker and marketplace. We are not a lender and do not make credit decisions. We help businesses explore options such as revenue-based financing, merchant cash advances, term loans, lines of credit, and equipment financing offered by independent funding partners. Each funder sets its own approval criteria, rates, fees, and terms.

4. No Guarantee of Funding

Submitting an application does not guarantee approval, a specific amount, a rate, or a timeline. Any figures on our site, in ads, or shared by our team are general information, not an offer. Only a written agreement from a funder is binding.

5. Business Purpose Only

All funding is for business (commercial) purposes only, not personal, family, or household purposes. You agree not to use any funding for consumer purposes.

6. Credit and Background Checks

You authorize FundFlow and its funding partners to obtain business and personal credit reports, and to verify the information you provide with banks, credit bureaus, and other sources, for the purpose of evaluating your request and for servicing and collections if funded. Our initial review uses a soft inquiry that does not affect your credit score. A funder may perform a hard inquiry later in the process.

7. Accuracy of Information

You agree that everything you provide is true, complete, and current, and that you will update us if it changes. Providing false information may result in denial and may be reported to the authorities.

8. Document Uploads

Upload links are personal to you. Do not share them. You confirm you have the right to provide any document you upload, and you authorize us to share it with funding partners reviewing your request.

9. Consent to Calls and Texts

By providing your phone number, you give express written consent for FundFlow and its funding partners to call and text you at that number, including with an automatic telephone dialing system, artificial or prerecorded voice, and AI-assisted technology, about your request and related products, even if your number is on a Do Not Call list. Consent is not a condition of any purchase or funding. Message frequency varies, and message and data rates may apply. Reply STOP to opt out or HELP for help, or email admin@fundflowllc.com. You confirm you are the subscriber or regular user of the number.

10. Email Communications

You agree we may email you about your application and related offers. You can unsubscribe from marketing emails at any time. We will still send messages needed to handle your application.

11. Compensation Disclosure

FundFlow may be paid by funders when a transaction closes, which may affect which options are presented. We do not charge you to apply. Any fees for a funding product are disclosed by the funder in its agreement.

12. Prohibited Use

• Submitting false information or applying on behalf of a business without authority.
• Using bots, scrapers, or automated tools to access the Services.
• Interfering with, hacking, or overloading the Services.
• Uploading malware or unlawful content.
• Using the Services for any illegal purpose.

13. Intellectual Property

The Services, including text, graphics, logos, and the FundFlow Capital name, belong to Fund Flow LLC or its licensors. You may not copy or use them without our written permission.

14. Third-Party Sites and Platforms

The Services may link to or be reached from third-party sites and platforms, including Facebook and Instagram. We are not responsible for their content or practices. This site is not part of, endorsed by, or affiliated with Meta Platforms, Inc., Facebook, or Instagram.

15. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Nothing on the Services is legal, tax, or financial advice.

16. Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY LAW, FUNDFLOW IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, ARISING FROM THE SERVICES OR ANY FUNDING PRODUCT. OUR TOTAL LIABILITY WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).

17. Indemnity

You agree to defend and hold harmless Fund Flow LLC and its members, employees, and partners from claims arising from your use of the Services, your information, or your breach of these Terms.

18. Arbitration and Class Action Waiver

Any dispute between you and FundFlow relating to the Services or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, held in New York County, New York, or by video. Either party may bring an eligible claim in small claims court instead. You and FundFlow waive any right to a jury trial and to bring or join a class, collective, or representative action. This agreement is governed by the Federal Arbitration Act.

Opt out: You may opt out of this section within 30 days of first accepting these Terms by emailing admin@fundflowllc.com with your name, phone number, and the words "Arbitration Opt-Out."

19. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to conflict of law rules. Any matter not subject to arbitration will be heard only in the state or federal courts located in New York County, New York.

20. Termination

We may suspend or end your access to the Services at any time. Sections that by their nature should survive will survive termination.

21. Severability and Entire Agreement

If any part of these Terms is found unenforceable, the rest remains in effect. These Terms and our Privacy Policy are the entire agreement between you and FundFlow about the Services.

22. Changes

We may update these Terms. Changes take effect when posted with a new "Last updated" date. Continued use means you accept the updated Terms.
